Overview
These Terms of Service govern your use of AccelerAI's AI platform and applications. By using our services, you agree to be bound by these terms on behalf of yourself and any organization you represent.
Definitions
- "Services"refers to AccelerAI's SaaS products, AI platform, and project implementations.
- "Customer Data" includes user-submitted content and session data, excluding dashboards and AccelerAI-created components.
- "System Data" refers to anonymized, aggregated information that AccelerAI may use for service improvement.
Restrictions & Responsibilities
Customers may not:
- Breach any laws or regulations with submitted data
- Submit sensitive information including health records, financial data, or passwords
- Reverse engineer the platform or its components
- Conduct unauthorized security testing
- Use services for competitive analysis
Customers must:
- Ensure data legality and accuracy
- Obtain proper consents for data submission
- Prevent unauthorized access to their accounts
- Indemnify AccelerAI against claims arising from their usage
Proprietary Rights
AccelerAI retains ownership of the Services and all improvements. Customers receive a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to use the Services in accordance with these terms.
Confidentiality
Both parties agree to protect proprietary information for five years following disclosure, with exceptions for publicly available data or legally required disclosures.
Data Privacy
Both parties comply with applicable data protection regulations including GDPR, CCPA, and CPRA. AccelerAI will not sell customer data or use it beyond service delivery unless legally required.
Payment Terms
Customers agree to pay all invoiced fees plus any excess usage charges. Billing disputes must be reported within 30 days to support@acceler.ai. Customers are responsible for all applicable taxes.
Termination
Either party may terminate with 30 days' written notice for material breach. Non-payment permits immediate termination. Confidentiality obligations and liability limitations survive termination.
Warranty Disclaimer
Services are provided "AS IS" without guarantees regarding performance, accuracy, or uninterrupted service. AccelerAI disclaims all warranties for merchantability and fitness for a particular purpose.
Limitation of Liability
AccelerAI's maximum liability is capped at $1,000 USD regardless of claim type. This excludes indirect, incidental, special, or consequential damages.
Governing Law
These terms are governed by California law. Exclusive jurisdiction lies with federal and state courts in Santa Clara County, California.
